Terms of Service

General Terms and Conditions (ÁSZF)

Effective Date: January 13, 2026

Definitions

In these Terms of Service:

  • "Service" means the Gridex AI virtual assistant platform, including all associated APIs, widgets, tools, and features
  • "Company", "we", "us", "our" refers to TeleCetli Kft., the operator of Gridex AI
  • "User", "you", "your" refers to the individual or entity accessing or using our Service
  • "Customer" refers to a paying subscriber of our Service
  • "End User" refers to individuals who interact with the virtual assistant on Customer websites
  • "Content" means any data, text, files, information, or materials uploaded to or generated by the Service

Service Description

Gridex AI provides an AI-powered virtual assistant platform specifically designed for e-commerce businesses. Our Service includes:

  • Customizable AI chat assistant for customer service automation
  • Product catalog integration and management (Product feed ingestion coming soon - currently available via document upload)
  • Multi-language support (Hungarian, English, German)
  • Real-time conversation handling with AI models
  • Analytics and conversation history
  • Custom knowledge base
  • API access for integration
  • Embeddable website widget
  • Voice interaction capabilities (on applicable plans)
  • AI-powered pre-visit medical intake for healthcare and dental practices (usage-based, purchased separately)

Account Registration

Eligibility

To use our Service, you must:

  • Be at least 18 years old or the age of legal majority in your jurisdiction
  • Have the legal authority to enter into binding agreements
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use
  • Ensuring your account information remains accurate and up-to-date

Subscription Plans and Pricing

Seat-Based Pricing

Gridex uses a seat-based pricing model. Each seat represents one staff member who can access the system. Choose a module based on your industry, and add seats as your team grows. All prices are in EUR, excluding VAT.

AI Seats enable AI-powered features including the virtual assistant chatbot, appointment booking assistant, and intelligent scheduling suggestions. AI Seats are optional add-ons to regular seats.

Volume Discounts

We offer graduated discounts based on your total seat count:

  • 1-4 seats: Standard pricing (no discount)
  • 5-9 seats: 10% off per seat
  • 10-19 seats: 15% off per seat
  • 20-49 seats: 20% off per seat
  • 50+ seats: 25% off per seat

Annual prepayment receives an additional 15% discount on the total subscription cost.

Free Trial

New customers receive a 14-day free trial with the following conditions:

  • Maximum of 2 seats during trial period
  • Maximum of 2 AI-enabled seats during trial period
  • Full access to all features of your chosen module
  • No credit card required to start trial
  • Trial converts to paid subscription upon adding a payment method

If no payment method is added before trial expiration, AI features will be disabled immediately. A 7-day grace period is provided to continue basic booking operations while you add payment details.

Email and SMS Communication

Each subscription includes a monthly quota for staff-initiated communications. Quotas are per-tenant (not per-seat) and vary by module as shown in the pricing table above.

Unlimited Automated Communications

System-generated emails and SMS messages (appointment confirmations, reminders, cancellation notices, password resets, etc.) are always free and do not count toward your quota. Only staff-initiated manual messages count toward your monthly quota.

Quota Policy

  • Monthly quotas reset on your billing cycle renewal date
  • You will receive a notification when you reach 80% of your monthly quota
  • There is no hard limit - you can always send messages even after exceeding your quota
  • Overage is charged per message at the rates listed in the pricing table above
  • Overage charges are automatically calculated and added to your next monthly invoice

Fair Use Policy

All subscriptions are subject to fair use. Automated system emails (appointment confirmations, reminders, etc.) are unlimited and free. Only staff-initiated manual emails and SMS messages count toward your monthly quota. Excessive usage that impacts service quality for other users may result in temporary restrictions or require upgrading to a higher tier.

AI Medical Intake Minutes

AI Medical Intake is an optional add-on service available for Healthcare and Dental modules. It provides AI-powered pre-visit patient intake sessions. Intake minutes are purchased separately as one-time packages and are not included in seat-based subscriptions.

Usage and Billing Policy

  • Session duration is measured in seconds and rounded up to the nearest whole minute for billing purposes
  • A minimum of 1 minute is billed per session, regardless of actual duration
  • Both completed and incomplete sessions are billed
  • Purchased minutes do not expire
  • Minutes are non-refundable unless required by applicable law
  • You can view your remaining balance and transaction history in the AI Intake administration panel

Acceptable Use Policy

Prohibited Uses

You may not use the Service to:

  • Violate any applicable laws or regulations
  • Infringe intellectual property rights
  • Distribute malware, viruses, or harmful code
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm others
  • Attempt to gain unauthorized access to systems
  • Interfere with or disrupt the Service
  • Resell or redistribute the Service without authorization
  • Process sensitive personal data without proper consent
  • Generate or distribute illegal, harmful, or offensive content

Intellectual Property

Our Property

The Service, including all software, designs, logos, and documentation, is owned by TeleCetli Kft. and protected by intellectual property laws. You receive only a limited license to use the Service according to these Terms.

Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive license to use, process, and display your content solely for providing the Service.

Data Processing

Data Protection

We process personal data in accordance with GDPR and our Privacy Policy. As a data processor, we will:

  • Process data only according to your instructions
  • Implement appropriate security measures
  • Assist with data subject requests
  • Delete or return data upon termination
  • Allow for audits and inspections as required

AI Model Training Guarantee

IMPORTANT: Your conversations, product catalogs, knowledge bases, and any data you provide are NEVER used to train, retrain, or improve any AI models. We use Microsoft Azure OpenAI Service, which guarantees that your prompts and completions are NOT used for training any foundation models and remain exclusively within your Azure tenant with AES-256 encryption. Your data is completely isolated from other customers and Microsoft.

Limitation of Liability

Service Availability

While we strive for 99.9% uptime, the Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

Limitation of Damages

To the maximum extent permitted by law, our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Exclusions

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss or corruption of data
  • Third-party actions or content
  • Force majeure events

Termination

Termination by You

  • Monthly subscriptions can be cancelled anytime, effective at the end of the current billing period
  • Account deletion can be requested through support

Termination by Us

We may terminate or suspend your account immediately for:

  • Violation of these Terms
  • Non-payment
  • Fraudulent or illegal activities
  • Actions that harm other users or the Service

Effect of Termination

  • Access to the Service will cease immediately
  • Data will be retained for 30 days for retrieval
  • After 30 days, all data will be permanently deleted
  • No refunds for unused subscription periods

Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email at least 30 days in advance. Continued use of the Service after changes constitutes acceptance of the new Terms.

Governing Law and Disputes

Applicable Law

These Terms are governed by the laws of Hungary, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  • Good faith negotiations between the parties
  • Mediation if negotiations fail
  • The competent courts of Pécs, Hungary as a last resort

Consumer Rights

For EU consumers, mandatory consumer protection laws of your country of residence apply and you may bring claims in your local courts.
